Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Trucker Copilot mobile application, the truckercopilot.com website, and related services (together, the "Services") provided by Trucker Copilot, LLC ("Trucker Copilot," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms.

1. The Services

Trucker Copilot provides tools for drivers, owner operators, dispatchers, and carrier fleets to capture load activity and documents, submit completed loads, communicate, review available broker and shipper information, follow transaction status, and request connections to participating specialty finance companies through the FactorEvo network.

2. Trucker Copilot is not a lender or factoring company

Trucker Copilot does not provide financing, does not make credit decisions, and does not guarantee that any finance company will approve, fund, or continue to fund any transaction. All financing arrangements, including eligibility, rates, fees, advance amounts, reserves, recourse structure, timing, and legal terms, are determined solely by the finance company you select and are governed by your agreement with that provider.

3. Accounts and eligibility

You must be at least 18 years old and use the Services for business purposes. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Role-based access must be used consistently with each user's responsibilities, and you are responsible for the users you authorize within your organization.

4. Your content and documents

You retain ownership of the documents and information you submit. You grant Trucker Copilot and the FactorEvo infrastructure a license to host, process, analyze, and share that content as needed to provide the Services, including transmitting it to the finance company you select and generating verified activity records (Signals). You represent that you have the right to submit the content and that it is accurate and not misleading.

5. Acceptable use

You agree not to misuse the Services, including by submitting false or altered documents, misrepresenting your identity or authority, interfering with the operation or security of the Services, accessing data without authorization, scraping, reverse engineering, or using the Services in violation of law.

6. Third-party information and services

The Services may display information from third parties, including FMCSA data, broker and shipper credit information, fuel prices, maps, and load information. This information is provided as available, may contain errors or delays, and does not constitute advice or a recommendation. Your use of third-party services is subject to their own terms.

7. Fees

Features of the Services may be offered free or for a fee. Any fees charged by finance companies, fuel programs, or other third parties are separate from Trucker Copilot and governed by your agreements with them.

8. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that information displayed, including credit, status, fuel, route, or load information, is accurate or complete.

9. Limitation of liability

To the fullest extent permitted by law, Trucker Copilot and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, cargo, or business opportunities, arising out of or related to the Services. Our total liability for any claim will not exceed the greater of one hundred dollars or the amounts you paid us for the Services in the twelve months before the claim arose.

10. Indemnification

You agree to indemnify and hold harmless Trucker Copilot and its affiliates from claims arising out of your content, your use of the Services, your violation of these Terms, or your violation of law or third-party rights.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access for violation of these Terms, suspected fraud, or risk to the Services or other users. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in Orange County, Florida, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
